A corporation's registered office is the location where all formal correspondence regarding the firm is sent. A firm owns many offices in addition to its registered office, including a corporate office, an administrative office, a branch office, and a factory. However, the registered office must register with the Ministry of Corporate Affairs. The company's promoters select where the registered office will be located. Once the registered office is declared by completing INC 22, all changes to the registered office are reported to the ROC.
Overview of the Change in Registered Office
The registered office of a company is counted as a place where all official correspondence related to the company is sent. Apart from the registered office, a company owns many different offices such as a corporate office, administrative office, branch office, and factory. However, it is necessary for the registered office to register with the Ministry of Corporate Affairs. Promoters of the company decide the location and place of the registered office. Once the registered office is declared via filing INC 22, any changes in the registered office of the company are intimated to the ROC.
The domicile of the company is determined by the registered office. The Registrar of Companies (ROC) is also decided by the location where the registered office is situated. Any change to the address of the registered office must be made by the ROC within 15 days.

Reason for Change in Registered Office Address
Stakeholders and the board of directors’ residential area often determine the location of the registered office, primarily considering convenience. However, in some cases, the need arises to change the registered office location from one place to another.
- A company may need to change its registered office address when it is expanding rapidly, and the current office space and infrastructure no longer align with its evolving needs.
- If the company’s lease period is coming to an end and it is looking to move into another leased office space.
- If the company plans to explore new business opportunities and wishes to shift its registered office to a location with better market potential.
- If another company is investing in your business, it requires a shift in the registered office address.
Registered Office Requirement During Company Registration
It is necessary to declare the registered office of the company at the time of incorporation. The following documents must be submitted when finalizing the location for the registered office:
- Water Bill/Electricity Bill
- Property Tax Receipt
- NOC obtained from the landlord regarding the registered office
- Lease agreement between the landlord and the company
Ensure that the name and address provided on the electricity bill, water bill, or property tax receipt match the NOC certificate issued by the landlord and referenced in the rental agreement. Furthermore, vacant land or buildings under construction cannot be designated as the registered office of a company. However, the registered office does not necessarily need to be in commercial or industrial property, it can also be in a residential property.

Types of Registered Office Address Change
- Change in the registered office of a Private Limited Company within the same state.
- Change in the registered office of a Private Limited Company within the same state but outside the existing city, town, or village within the same Registrar of Companies (ROC).
- Change in the registered office of a company within the same state but from one ROC to another.
- Change in the registered office of a Private Limited Company from one state to another or from the jurisdiction of one ROC to another.
